Definition of Client

“Client/Partner” is any entity engaging with our professional services or products.

Scope of Services

We manufacture and supply garments and textile products for global institutions.

Agreement Terms

Offers are subject to written confirmation and are not binding until signed.

Formal Contracts

Execution of a formal Purchase Order or Supply Agreement is required.

Contractual Agreements

All contracts are concluded in writing, either via signed agreement, purchase order or framework agreement.

Confirmation Standards

Prices, lead times, and quantities are binding only after written confirmation. Variations must be agreed.

Clients' proprietary information is treated confidentially under strict Non-Disclosure and Non-Circumvention.

Unauthorized reproduction, distribution, or resale of our proprietary materials is strictly prohibited.

6. Compliance Standards

We adhere to all professional compliance and certification standards regarding our products and services.

RANNG adheres to international labor, ethical, and environmental standards.

SMETA 2-Pillar audits and ISO certifications ensure excellence across our operations.

Full compliance with EU REACH regulations and restrictions on hazardous substances.

We actively support our clients’ ESG, CSR, and supply-chain compliance obligations.

Zero-tolerance for bribery and corruption in line with UK and US trade laws.

All exports strictly comply with EU and US international trade control regulations.

8. Payment Terms

Standard payment terms are agreed contractually (LC, TT, or other secure instruments).

Payment Obligations

All amounts must be paid in full, free of deduction or set-off, unless otherwise agreed.

Late Payment Policy

Late payments accrue interest at defined rates per month in accordance with EU guidelines.

9. Delivery and Risk

Delivery terms are based on Incoterms 2020 (FOB, CIF, DDP etc. as contractually agreed).

Risk Transfer

Risk passes to the client upon delivery to carrier or the designated agreed delivery point.

External Liability

Delays caused by customs, inspections, or governmental actions are outside our liability.

Warranty and Quality Assurance

RANNG guarantees that supplied products conform to agreed specifications and standards.

Defect Notification

Any defects must be notified in writing within 30 days of the delivery of the goods.

Our Liability Limits

Liability is limited to repair or replacement; consequential damages are fully excluded.

Limitation of Liability

RANNG is not liable for indirect losses, and aggregate liability is limited per order.

Force Majeure Events

We are not liable for delays or failures caused by events beyond our direct control.

Control Exclusions

This includes natural disasters, strikes, pandemics, or restrictive government orders.

13. Data Protection

As a data processor for EU-based clients, RANNG complies with GDPR Regulation (EU) 2016/679.

Data Usage Standards

Personal data is collected, processed, and stored for business purposes under Indian IT Act and GDPR.

14. Governing Law

These Terms are governed by the laws of India, with jurisdiction in Gurugram, Haryana – India.

EU/EEA Compliance

For EU/EEA clients, mandatory consumer and business protection laws of the respective EU Member State apply.

Dispute Resolution

Disputes shall be resolved amicably; failing which, arbitration under the Arbitration Act shall commence.

Additional Legal Notes

All terms are subject to change in accordance with evolving legal standards and regional requirements.

15. Dispute Resolution

Conciliation Act, 1996 (India) will apply to all matters unless otherwise stated.

EU Dispute Mediation

For European partners, we support ADR and the EU Online Dispute Resolution platform.

16. Amendments

RANNG reserves the right to amend these Terms. Latest versions are on our website.

17. Grievance Officer

Compliance with Indian IT Rules 2021, we have appointed an official officer.
